Welcome to FaciliTrades! These Terms of Service ("Terms") govern your access to and use of the FaciliTrades platform, website, and mobile applications (collectively, the "Platform"), operated by Facilitrades, LLC ("FaciliTrades," "we," "us," or "our").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. These Terms incorporate our Privacy Policy, our Copyright / DMCA Policy, and, when you use our mobile apps, our Mobile Application & In-App Purchase Terms.
Important: Please read these Terms carefully, including the sections on Payments, Limitation of Liability, and Dispute Resolution.

FaciliTrades is a barter platform, not a marketplace for buying or selling. All exchanges between users are item-for-item or service-for-service barter, with no prices, monetary transactions, or payment processing between users.

Zero-Tolerance Policy
FaciliTrades has zero tolerance for objectionable content and abusive users. You agree not to post, transmit, or share content — including listings, photos, messages, and profile content — that is harassing, threatening, hateful, defamatory, sexually explicit, or otherwise objectionable.
Child sexual abuse material (CSAM) and the sexual exploitation of minors are strictly and categorically prohibited.You may not upload, post, share, request, or solicit any content that sexually exploits or endangers a minor. Where we become aware of apparent CSAM, we preserve the material in a restricted, access-limited store, terminate the account, and report it — together with associated content and account information — to the National Center for Missing & Exploited Children (NCMEC) and cooperate with law enforcement, as required by U.S. federal law (18 U.S.C. §2258A).
We provide tools to keep the community safe: you can report any listing, profile, or message, and you can block any user to stop further contact. We review reports of objectionable content and, where a violation is confirmed, act to remove the content and eject the offending user — typically within 24 hours. Filtering and moderation systems supplement, but do not replace, these user tools.
You are solely responsible for:
All trades on the Platform are item-for-item or service-for-service barter exchanges. The Platform does not support, process, or facilitate cash, cryptocurrency, precious metals, or any other monetary or stored-value settlement between users. When a trade is uneven, participants balance it by adding more items or services — never by paying money to one another through the Platform.
Note: FaciliTrades does not process any value exchange between users. All trade fulfillment occurs directly between users.
Since all trades occur directly between users, FaciliTrades cannot mediate or resolve disputes between trading partners. We encourage users to communicate clearly, document agreements, and meet in safe locations. Repeated disputes may affect your platform reputation. You acknowledge that barter exchanges may have tax implications, as the IRS treats the fair market value of received items as taxable income; consult a tax professional.
Core trading on FaciliTrades is free. We also offer optional paid features: Tickets (pay-per-use credits for premium platform features) and an optional Smarter subscription. Trading with other users is always free and never requires payment to FaciliTrades.
Tickets are credits purchased with real money and consumed when you activate a premium platform feature (for example, smart-matching assistance, listing assistance, cosmetic items, or listing boosts). Tickets are non-transferable, have no cash value, do not expire, and are not a currency or stored-value instrument. Tickets can only be used to purchase platform features from FaciliTrades and can never be used to acquire items from other users.
The optional Smarter subscription provides a monthly Ticket allocation and enhanced feature limits. Subscriptions are billed in advance and renew automatically each period until cancelled. You may cancel at any time; cancellation takes effect at the end of your current billing period, and no further charges are made after that. Subscription benefits and pricing may change with advance notice.
How your payment is processed depends on where you use the Platform:

We may change the price of Tickets and subscriptions at any time. Price changes do not affect Tickets already purchased. Subscription price changes take effect at the start of your next billing cycle following notice.
Payments on the Platform exist solely to purchase platform features (Tickets and subscriptions) from FaciliTrades. They do not introduce any monetary component into trades. All trades between users remain item-for-item or service-for-service barter.
The Platform, including its design, features, AI models, trade-matching algorithms, and content (excluding user content), is owned by FaciliTrades and protected by intellectual property laws. The SmartTrade trade-chain discovery system is covered by a provisional patent (Application #64/000,288). You may not copy, modify, or distribute Platform content without permission.
You retain ownership of content you post (listings, photos, messages). By posting content, you grant FaciliTrades a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating the Platform.
You represent that you have the right to post all content and that it does not infringe any third-party rights. Copyright owners may submit takedown requests under our Copyright / DMCA Policy.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
We make no representations about:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACILITRADES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRADE CONDUCTED THROUGH THE PLATFORM.
Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to FaciliTrades in the twelve (12) months preceding the claim, or $100, whichever is greater.
You agree to indemnify, defend, and hold harmless FaciliTrades and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at info@facilitrades.com. We will attempt to resolve disputes within 30 days.
If informal resolution fails, any disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall be conducted in Florida.
Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or class arbitration.
We may modify these Terms at any time. Material changes will be communicated via:
Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.
These Terms, together with our Privacy Policy, Copyright / DMCA Policy, and (for mobile users) our Mobile Application & In-App Purchase Terms, constitute the entire agreement between you and FaciliTrades regarding the Platform.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
