1. Introduction and Acceptance

Welcome to Facilitrades! These Terms of Service ("Terms") govern your access to and use of the Facilitrades platform, website, and services (collectively, the "Platform"), operated by Facilitrades, LLC ("Facilitrades," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Service

2.1 What We Provide

Facilitrades is a peer-to-peer trading platform that enables users to:

• List items and services for trade
• Discover potential trading partners through AI-powered matching
• Communicate with other users about potential trades
• Create and manage trade proposals
• Build reputation through completed trades

2.2 Non-Custodial Nature

All trades are arranged and completed directly between users. You are solely responsible for assessing trading partners, verifying items, and ensuring safe exchange.

3. User Accounts

3.1 Account Requirements

To use the Platform, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or create risk for the Platform or other users. You may also delete your account at any time through your account settings.

4. Acceptable Use Policy

4.1 Permitted Activities

You may use the Platform to:

• List items and services you legally own or are authorized to trade
• Browse listings and communicate with other users
• Propose and negotiate trades in good faith
• Complete trades according to agreed terms

4.2 Prohibited Activities

You may NOT use the Platform to:

• List or trade illegal items, including stolen goods, controlled substances, weapons, or counterfeit products
• Engage in fraud, scams, or misrepresentation
• Harass, threaten, or abuse other users
• Circumvent Platform security or access controls
• Use automated systems to scrape data or spam users
• Manipulate reputation scores or reviews
• Impersonate other users or Facilitrades staff
• Violate any applicable laws or regulations

4.3 Prohibited Items

The following items are prohibited from the Platform:

• Illegal drugs and controlled substances
• Weapons, ammunition, and explosives
• Stolen property or goods with removed serial numbers
• Counterfeit or infringing products
• Hazardous materials
• Human remains or body parts
• Items that promote hate or violence
• Regulated financial instruments (securities, unlicensed money transmission)

5. Trading Guidelines

5.1 Trade Responsibility

You are solely responsible for:

• Evaluating potential trading partners
• Verifying the condition and authenticity of items
• Negotiating fair trade terms
• Arranging safe meeting locations or shipping
• Completing trades as agreed
• Reporting any issues through Platform tools

5.2 Settlement Options

The Platform supports various settlement methods when trades don't align perfectly:

• Direct Swap: Item for item exchange (preferred)
• Cryptocurrency: Bitcoin, Ethereum settlement
• Precious Metals: Gold, silver settlement

Note: Facilitrades does not process any settlements. All value exchange occurs directly between users outside the Platform.

5.3 Disputes

Since all trades occur directly between users, Facilitrades cannot mediate or resolve disputes. We encourage users to communicate clearly, document agreements, and meet in safe locations. Repeated disputes may affect your platform reputation.

6. Intellectual Property

6.1 Platform Content

The Platform, including its design, features, and content (excluding user content), is owned by Facilitrades and protected by intellectual property laws. You may not copy, modify, or distribute Platform content without permission.

6.2 User Content

You retain ownership of content you post (listings, photos, messages). By posting content, you grant Facilitrades a non-exclusive, worldwide license to use, display, and distribute your content in connection with operating the Platform.

You represent that you have the right to post all content and that it does not infringe any third-party rights.

7. Disclaimers

We make no representations about:

• The quality, safety, or legality of listed items
• The accuracy of listings or user information
• The ability of users to complete trades
• The outcome of any trade or interaction

8. Limitation of Liability

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Facilitrades in the twelve (12) months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Facilitrades and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any trade or interaction with other users
• Content you post on the Platform

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

10.2 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at info@facilitrades.com. We will attempt to resolve disputes within 30 days.

10.3 Arbitration

If informal resolution fails, any disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall be conducted in Florida.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or class arbitration.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via:

• Email notification to registered users
• Prominent notice on the Platform
• In-app notification

Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Facilitrades regarding the Platform.

12.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

12.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

12.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
